Indemnification is central to the surety-principal relationship. The General Agreement of Indemnity legally binds the principal to protect the surety from any loss incurred by issuing the bond. This means the principal is responsible for reimbursing the surety for any valid claims paid, along with associated legal fees, investigation costs, and other expenses.

The principal can dispute a claim directly with the surety, providing their own evidence and arguments. Failure to reimburse the surety can lead to financial and legal consequences for the principal. A paid claim, especially if unreimbursed, impacts the principal’s future bondability. Surety companies track claim histories; prior claims or unreimbursed losses make obtaining new bonds difficult. These events also negatively impact the principal’s personal and business credit scores, as claims and legal actions may be reported to credit bureaus.
