California’s tax system offers various business credits, and when a business qualifies for an incentive, it must use the specific form associated with that credit to calculate the amount. Unlike the federal system, California does not have a centralized “General Business Credit” form; each credit is calculated on its own designated form and attached to the primary tax return.
When taxpayers need to track credit carryovers to future years or account for the recapture of credits, they use FTB Form 3540, Credit Carryover and Recapture Summary. This form ensures that unused credit amounts are properly documented for future use.
Claiming one of California’s business credits applies to a wide range of filers, including individuals, estates, trusts, and various business entities. The credit forms must be attached to the primary California tax return, which varies by the type of entity. These returns include:

Each business credit has a unique form and specific qualification rules. Before a credit can be claimed, the taxpayer must first fully complete the individual source form associated with that credit, as this is where the calculation of the credit amount takes place. Several common credit forms are filed with California tax returns, each requiring detailed information specific to its purpose.
For instance, businesses engaged in qualified research activities must complete Form FTB 3523, Research Credit. A business hiring employees from designated target groups would use Form FTB 3554, New Employment Credit. While the College Access Tax Credit (Form FTB 3592) has expired for contributions made after 2022, taxpayers with a carryover from a prior year may still claim the remaining amount.
Taxpayers must use the official, current-year versions of all tax forms. The California Franchise Tax Board (FTB) makes all individual credit forms available on its website. Taxpayers should download the forms directly from the FTB site to use the most up-to-date documents, as credit rules can change from year to year.
Once all individual credit forms are completed, the taxpayer reports the allowed credits on their main tax return. If the credits are not fully used in the current year, or if a credit is subject to recapture, Form FTB 3540 comes into play. Each individual credit form has its own instructions for calculating the credit based on qualifying activities, and the resulting amount is entered on the appropriate line of the main tax return.
If the full amount of a credit cannot be used in the current year due to limitations, such as the credit amount exceeding tax liability, the unused portion may be carried forward. Form FTB 3540, Credit Carryover and Recapture Summary, is used to document and track these carryovers. It has sections for different types of credits, allowing the taxpayer to record the original credit amount, the amount used, and the remaining balance to be carried to the next year.
Form 3540 is also used to report credit recapture. If a taxpayer previously claimed a credit but later failed to meet ongoing requirements, a portion of that credit may need to be paid back. The form provides a schedule for calculating this recapture amount, which is then added to the taxpayer’s total tax liability.
Completing the individual credit forms is not the final step; they must be submitted with the taxpayer’s main California income tax return. These forms are not standalone documents and should never be filed by themselves. If a carryover or recapture is involved, Form 3540 must also be included.
When filing a paper return, the individual source credit forms and Form 3540 must be physically attached. The FTB provides instructions on the proper order of attachment for forms and schedules. Supporting credit forms are placed directly behind the main tax return, followed by Form 3540 if applicable.
For those who choose to e-file, the process is handled by tax preparation software. The software incorporates the completed individual credit forms and Form 3540 into the electronic filing package, and the data is transmitted to the FTB with the main return. Taxpayers should ensure their chosen software supports all the specific credit forms they need to file.
